Environmental and Safety Policy

The NeoGeno group believes in Environmental Responsibility and requires our partners and vendors to share in that philosophy. We strive to maintain our facility, and operate our processes in such a way as to comply with all applicable regulations, as well as requirements established by our suppliers/customers, and other applicable interested parties. We will take all reasonable measures to prevent controllable pollution and safety hazards. We commit to try to find ways to improve our environmental and safety performance, while maximizing our business goals.

The NeoGeno group, and/or their Auditing Agencies such as our designated environmental auditor, EPM, has signed an agreement with all our partners to reserve the right to inspect/audit, as deemed necessary to verify that this pledge is being fulfilled.

Consistent with our Environmental and Safety Policy, NeoGeno Group is dedicated to ensuring all of our products are properly handled. We feel it is critical that Environmentally Sensitive Materials are properly disposed of, or sold in a manner consistent with U.S and International Laws or Trade Agreements. Therefore, we insist that individuals or organizations that purchase materials/products from us (vendors) pledge to do the following:

• Vendor will not sell “Casings” meaning the outer case or chassis of the equipment in its original form.

• Vendor shall prevent the shipping of Environmentally Sensitive Materials (IT Technology) to solid waste (non hazardous waste) landfills or incinerators for disposal or energy recovery

• Vendor shall not export Environmentally Sensitive Materials from developed to developing countries for disposal (landfill and/or incineration)

• Vendor will properly dispose of Environmentally Sensitive Materials and at a minimum, be in compliance with all Environmental Laws and any and all other local, state or federal, regional or country laws, regulations or requirements of any kind relating to the disposal of material.

Definition: “Environmental Laws” means all federal, state and local laws, statutes, rules, regulations and ordinances in effect or subsequently enacted concerning or relating to the protection of human health and/or the environment, including Superfund and any similar law. Environmental Laws shall further include all local or regional (e.g. WEEE directive of the European Union) laws, statutes, rules, regulations and ordinances in effect or subsequently enacted in the country where services are performed.

• Vendor agrees to abide by export control laws and regulations of the United States (“US”) and may also be subject to the export laws and regulations of the country in which the Equipment and Materials are manufactured and/or received.

Definition: “Export Laws” means the United States Export Control Administration Act of 1979 and the Export Administration Act of 1985, as those Acts may be amended from time to time (or any successor or similar legislation) and the rules and regulations promulgated hereunder.

• Vendor acknowledges and agrees that under U.S. law, the Equipment and Material may not be sold, leased, or otherwise transferred to restricted end-users or to restricted countries, and the Equipment and Material may not be sold, leased or otherwise transferred to, or utilized by an end-user engaged in actives related to weapons of mass destruction, including without limitation, activities related to the design, development, production or use of nuclear weapons, materials, or facilities, missiles or the support of missile projects, and chemical or biological weapons.

• Vendor will not use Prison Labor or knowingly contract, sell or recycle through entities that utilize prison labor.

• Vendor will not ship material to Canada for recycling purposes

• Vendor will track and report end-of-life electronics throughout the disposal channel.

• Vendor agrees that the above requirements will be met by their downstream vendors

• Vendor will account lb. for lb. equipments end use.

• Vendor will promptly notify NeoGeno Group of any compliance issues in regards to environmental issues arising from any local, state or federal agencies or regulators.
